What makes it "Better" Diligence?
Stop us if you've heard this one before:
Your firm spends nearly six figures on a perfunctory, bland, and worst of all, excruciatingly boring diligence report that a couple of associates produced which basically tells you what you already knew: the target is “good, not great, with some generic risk factors, and some warning signs.”
Great, thanks for that.
This is diligence as a tick-boxing exercise: something you do because you have to do it, and to ensure there aren't any pants-on-fire problems that would stop the deal. But it's not very nuanced, and it doesn't really seek to look around any corners, or identify future opportunities or challenges as they pertain to you.
We think about diligence differently. We seek to answer vital questions that are specifically relevant to the acquirer's interests, and to layer in our extensive knowledge of the market, business considerations, post-close integration and investment activity, and the tech scene in general, and the result is a powerful report that cuts to the good parts quickly and can help completely change the way you're thinking about (and valuing) a deal.
We approach our diligence process from both the technical and product perspective.
We identify if the product organization is healthy in its structure, and has capacity to scale. We dive into the product roadmap itself and make sure the efforts of the team make sense, and that there's a cohesive strategy behind their decisions. Most importantly, we work to develop a prediction of how the acquisition would further the organization's goals, and what the first 30, 90, and 180 days post-close look like. Too many acquisitions are done without thinking about post-close activities, integrations, headcount evaluation, and other crucial factors to delivering value from the investment.
We seek to change that, while offering feedback on how our findings could shift the enterprise value. Diligence isn't a binary result, it's a matter of degrees, and our approach keeps this in mind.
